      <Description><![CDATA[<p>We are looking for an experienced, enthusiastic, and motivated individual to join us as Senior Corporate Counsel. You will serve as a key member of our growing Legal team, providing strategic legal advice on securities law compliance, corporate governance, and disclosure matters.</p>
<p>This role will support the company’s obligations under U.S. federal securities laws and SEC regulations, advise on public company reporting and disclosure, partner with senior leadership to manage securities-related legal risks, and assist with day-to-day corporate matters.</p>
<p>As Senior Corporate Counsel, you will lead drafting, review and revision of SEC filings, including annual and quarterly reports, 8-K filings, Section 16 filings, and other filings as needed. You will also lead planning for annual meeting matters, including proxy statements, shareholder communications, and other governance-related disclosures.</p>
<p>You will monitor developments and serve as the key subject-matter expert in securities laws, SEC guidance, Nasdaq requirements, and corporate governance best practices, and advise on potential impacts. You will advise on securities law compliance, including insider trading policies, the handling of material non-public information, shareholder proposals, and other matters.</p>
<p>You will advise on Regulation FD and public disclosure and assist in review of investor and public relations materials to ensure compliance with securities laws. You will support the company’s corporate governance function, including direct facilitation of board and committee processes, governance policies, and director/officer compliance.</p>
<p>You will serve as a subject-matter expert on legal aspects of stock-based compensation and equity plan administration. You will assist in corporate policy reviews and improving policy practices and processes, and assist with related training.</p>
<p>You will contribute to subsidiary management and compliance matters. You will assist on M&amp;A and business development initiatives, as needed. You will provide advice and support on various corporate matters as they arise.</p>
<p>We are looking for a J.D. degree from an accredited law school; member in good standing of at least one U.S. state bar. You should have 5-7+ years of legal experience, including law firm experience, with significant focus on securities law, SEC reporting, and public company governance.</p>
<p>You should have deep knowledge of the &#39;33 Act, &#39;34 Act, SEC rules and regulations, and Nasdaq listing standards. You should have strong communication skills, with the ability to convey complex legal concepts to non-legal audiences.</p>
<p>You should have excellent drafting skills, organisational skills, and attention to detail. You should be able to lead, manage, and prioritise competing projects from inception through completion in a collaborative, fast-paced environment.</p>
<p>You should have excellent interpersonal skills with the ability to collaborate cross-functionally and advise senior leadership with sound judgment and practical solutions.</p>
<p>Bonus points for experience in similar in-house roles, experience representing newly public companies and emerging growth companies, experience supporting clients in the healthcare industry or in digital care delivery.</p>

      <Title>Senior Stock Administrator</Title>
      <Description><![CDATA[<p>We are seeking a Senior Stock Administrator to manage the day-to-day administration of Omada&#39;s equity compensation programs, including RSUs, stock options, and other incentive plans. This role will ensure accurate recordkeeping, compliance with regulations, and timely execution of equity transactions.</p>
<p>The ideal candidate will have deep knowledge of equity plan administration, strong attention to detail, and the ability to collaborate cross-functionally with HR, Finance, Legal, and external vendors.</p>
<p>As a Senior Stock Administrator, you will be responsible for managing day-to-day operations of Omada&#39;s equity programs, including grants, exercises, releases, and ESPP purchases. You will maintain accurate participant records in equity systems and ensure compliance with SEC, IRS, and other regulatory requirements.</p>
<p>You will prepare equity-related reports for Finance, HR, and Legal and support quarterly and annual financial reporting requirements (ASC 718). You will partner with HR, Payroll, Finance, and Legal to ensure seamless integration of equity transactions with payroll and accounting processes.</p>
<p>You will identify and implement enhancements to equity administration processes and systems to improve efficiency and accuracy. You will respond to employee inquiries regarding equity awards, plan rules, and tax implications.</p>
<p>You will assist with internal and external audits related to equity compensation and act as a functional architect to design and implement automated workflows using Alteryx and advanced data tools, reducing manual intervention, scaling our operations, and enhancing controls.</p>
<p>Requirements:</p>

<li>Bachelor&#39;s degree or equivalent experience</li>
<li>5+ years of relevant experience in equity administration, preferably in a public company environment</li>
<li>Complete knowledge of equity compensation types (RSUs, stock options, ESPP) and related tax/regulatory requirements</li>
<li>Experience with equity administration platforms (e.g., Shareworks, Equity Edge, Carta)</li>
<li>Strong analytical skills and attention to detail</li>
<li>Excellent communication skills, with the ability to explain complex topics to non-experts</li>
<li>Ability to work independently and manage multiple priorities</li>
</ul>
