<p><strong>Responsibilities</strong></p>
<p>Lead end-to-end drafting, review, and negotiation of commercial agreements, including MSAs, SaaS and API agreements, DPAs, partnership and reseller agreements, strategic collaboration and co-marketing agreements, procurement and vendor contracts, technology and infrastructure agreements, and IP licensing arrangements.</p>
<p>Serve as a primary legal partner across the business, providing fast, practical, and business-aligned counsel that accelerates deal velocity without compromising on risk management.</p>
<p>Provide strategic counsel on legal risks across AI infrastructure, compute, partnerships, and enterprise deployments as the company scales.</p>
<p>Advise on AI-specific legal considerations in commercial agreements, including acceptable use, data retention and training restrictions, output liability, and evolving regulatory requirements (e.g., EU AI Act, CCPA/CPRA, GDPR).</p>
<p>Build and maintain scalable legal infrastructure,contract templates, negotiation playbooks, fallback positions, and tools (e.g., CLM, self-serve workflows),to support high-volume deal flow and reduce friction in the contracting cycle.</p>
<p>Partner cross-functionally with Product, Engineering, Security, Finance, and Compliance teams to surface and address legal risk early, particularly on data use, enterprise integrations, and customer-specific compliance requirements.</p>
<p>Monitor the evolving regulatory landscape for enterprise AI and SaaS products and translate emerging requirements into practical contractual and policy guidance for internal stakeholders.</p>
<p><strong>Qualifications</strong></p>
<p>JD and in good standing with an active U.S. state bar membership.</p>
<p>At least 5+ years of law firm and/or in-house experience, with a track record of drafting and negotiating complex commercial technology agreements.</p>
<p>Strong business acumen and ability to partner effectively with sales, product, engineering, and executive teams.</p>
<p>Deep familiarity with data privacy and security frameworks (GDPR, CCPA/CPRA, SOC 2, HIPAA) and experience negotiating DPAs and related compliance agreements.</p>
<p>Ability to communicate clearly with business and technical audiences and effectively translate legal concepts for non-lawyers.</p>
<p>Hands-on attitude to tackle projects large and small, low-ego approach to working across the organization.</p>
<p>Positive collaborative attitude, comfort with ambiguity and a fast pace, high level of integrity, and intellectual curiosity about AI technology and how these products work.</p>

<p>We&#39;re looking for a Commercial Counsel, GTM to join our legal team at the forefront of shaping how cutting-edge AI technology reaches users, researchers, and enterprises worldwide. You&#39;ll work alongside experienced colleagues who operate as true strategic partners—moving fast, thinking creatively, and working collaboratively to support deals that matter.</p>
<p>In this role, you&#39;ll focus heavily on supporting our Go-to-Market teams, handling enterprise agreements and customer negotiations while gaining exposure to a range of commercial work including research collaborations, product partnerships, and procurement. Additionally, you’ll have opportunities to work on cutting-edge AI safety and research agreements, including threat-sharing frameworks with leading security organizations and collaborations that shape and advance responsible AI development standards.</p>
<p><strong>Responsibilities:</strong></p>
<ul>
<li>Draft, review, and negotiate commercial agreements, with a primary focus on GTM/Sales transactions including enterprise customer contracts</li>
<li>Partner closely with Sales and Go-to-Market teams to support deal velocity and provide practical legal guidance</li>
<li>Help build and maintain our commercial legal infrastructure, including contract templates, playbooks, and process improvements</li>
<li>Potentially partner with Policy, Safeguards, and Research teams on novel AI governance initiatives</li>
<li>Identify and escalate legal risks appropriately while supporting business momentum</li>
<li>Stay current on legal developments affecting AI technologies</li>
</ul>
<p><strong>You might be a good fit if you have:</strong></p>

<li>A JD and active membership in at least one U.S. state bar (California preferred)</li>
<li>At least 3 years of legal experience, ideally with exposure to commercial contracts, SaaS agreements, or technology transactions</li>
<li>Clear communication skills and comfort translating legal concepts for non-lawyer audiences</li>
<li>A low-ego, collaborative approach to working with colleagues and external partners</li>
<li>Curiosity about AI technology, AI Policy, and commitment to responsible AI development</li>

<p><strong>Role-specific policy:</strong></p>
<p>For this role, we expect all staff to be able to work from our San Francisco or New York offices at least 3 days a week, though we encourage you to apply even if you might need some flexibility for an interim period of time.</p>
<p><strong>Logistics</strong></p>
<p><strong>Education requirements:</strong> We require at least a Bachelor&#39;s degree in a related field or equivalent experience. <strong>Location-based hybrid policy:</strong> Currently, we expect all staff to be in one of our offices at least 25% of the time. However, some roles may require more time in our offices.</p>
